Terms of Service

Welcome to Embrace Change Consulting! These Terms of Service ("Terms") govern your access to and use of our coaching services, blog, newsletter, workshops, and learning platform (collectively, the "Services"), provided by Embrace Change Consulting ("we," "our," or "us").

By accessing or using our platform, you agree to comply with these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By accessing or using our services, you:

  • Acknowledge that you have read, understood, and agree to these Terms.
  • Agree to comply with all applicable laws and regulations.

2. Eligibility

  • You must be at least 18 years old or have parental/guardian consent to use our services.
  • By using our services, you confirm that the information you provide is accurate and complete.

3. Services Provided

3.1 Coaching Services

Coaching is a professional partnership designed to support personal, professional, and business development. The Coach serves as a guide but does not provide therapy, counseling, or legal, medical, or financial advice. Coaching sessions are conducted via video conferencing unless otherwise specified.

3.2 Blog and Newsletter

  • Our blog provides insights, articles, and updates on professional and personal growth.
  • By subscribing to our newsletter, you agree to receive periodic updates and promotional materials. You may unsubscribe at any time.

3.3 Workshops and Learning Platform

  • One-Time Payment Workshops: Participants will have access to the platform and workshop materials for 6 months from the date of purchase.
  • Subscription-Based Workshops: Participants will have access to the platform and materials for the duration of their active subscription.
  • Downloadable resources are provided for educational purposes and may remain accessible after platform access expires, depending on workshop terms.

4. Payment and Refund Policy

4.1 Payment Methods

  • Payments for coaching, workshops, and digital resources are processed via Stripe.
  • We do not store your payment information; all transactions are handled through Stripe’s secure infrastructure.

4.2 Refund Policy

  • Coaching Sessions: No refunds will be issued. However, if you cannot use a session, you may transfer or gift it to another person by providing written notice.
  • One-Time Payment Workshops: No refunds are provided. Please review workshop details carefully before purchasing.
  • Subscription-Based Workshops: You may cancel at any time. No refunds will be provided for the current billing period, but you will not be charged for future periods.

5. Cancellation & Rescheduling (Coaching Services Only)

  • Clients may reschedule or cancel a session with at least 24 hours' notice before the scheduled time.
  • Late cancellations (less than 24 hours in advance) will result in forfeiture of the session fee, with no refund or credit.
  • If the Coach needs to reschedule, reasonable efforts will be made to accommodate the Client.

6. Acceptable Use

You agree not to:

  • Use our services for any illegal or unauthorized purposes.
  • Upload, transmit, or share malicious software, spam, or content that violates intellectual property rights.
  • Interfere with or disrupt the platform’s operation.

7. Intellectual Property

7.1 Ownership

All content on our platform—including text, graphics, logos, and downloadable resources—is the property of Embrace Change Consulting or its licensors.

7.2 Limited License

You are granted a non-exclusive, limited license to access and use the platform for personal, non-commercial purposes.

7.3 Restrictions

You may not copy, reproduce, distribute, or create derivative works from our content without prior written consent.

8. Confidentiality (Coaching Services Only)

  • The Coach agrees to keep all coaching communications confidential, except as required by law (e.g., risk of harm, court orders).
  • The coaching relationship is not legally privileged (unlike attorney-client privilege).
  • No information will be shared with third parties without written consent.

9. Privacy and Marketing

  • Your use of our services is governed by our Privacy Policy, which outlines how we collect, use, and protect your data.
  • We use HubSpot for marketing and client communication. By using our services, you agree that your information may be processed through HubSpot under their Privacy Policy.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Embrace Change Consulting is not liable for any indirect, incidental, or consequential damages arising from your use of our services.
  • Our total liability for any claims shall not exceed the amount you paid for our services.

11. Termination of Services

We reserve the right to suspend or terminate your access to coaching, workshops, or digital content at our sole discretion if you violate these Terms or engage in harmful behavior.

12. Modifications to These Terms

We may update these Terms from time to time. The latest version will be posted on our website with an updated Effective Date. Continued use of the platform constitutes acceptance of the revised Terms.

13. Dispute Resolution & Governing Law

  • If a dispute arises, both parties agree to first attempt resolution through mediation.
  • If unresolved, legal action may be pursued under the laws of the State of Oregon.
  • Any disputes shall be resolved exclusively in Oregon courts.
